We, Ksolves India Limited (“we”, “us”, “our”, “Company”, “Ksolves”) have developed and own a proprietary software called “Ksolves” (hereinafter referred to as the “Platform”). The Platform assists Licensor (defined below) in craThfting sophisticated and customized software solutions and also allows the Licensor to commission and implement third party software/platform that can be offered to the Licensor’s customers (collectively referred to as “Services”).

We respect data privacy rights and are committed to protecting personal data collected on this Platform. This Privacy Notice (“Privacy Notice”) sets forth how we collect, use and protect the personal data collected on this Platform.

Unless otherwise set out below, each capitalized term in this Privacy Notice shall have the meaning as set out in the Terms of Use specifically accepted for use of the Platform. In order to use the Services, it shall be your responsibility to comply with both this Privacy Notice and any agreements. If the Privacy Notice is inconsistent with any provision contained in the specific agreements, the Company shall determine, in its sole and absolute discretion, which of the provisions shall control any such inconsistency or conflict.

IF YOU DO NOT HAVE SUCH AN AUTHORITY (TO PROVIDE ANY PERSONAL DATA OF A THIRD PARTY) OR DO NOT AGREE TO THE TERMS OF THIS PRIVACY NOTICE, THEN YOU SHOULD REFRAIN FROM USING THE PLATFORM.

This Privacy Notice is an electronic record in the form of an electronic document compliant and construed in accordance with data protection laws of the applicable jurisdictions.

1.Definitions

  1. “User(s)” “you”, “your”shall mean individuals that visit/use/access the Platform.

  2. “Licensor” and/or “Customer” shall mean a business entity that has subscribed to the Platform and/or the Services.

  3. “Controller” means the natural or legal person, public authority, agency or other body which, alone or jointly with others, determines the purposes and means of the processing of Personal Data.

  4. “Processor” means a natural or legal person, public authority, agency or other body which processes Personal Data on behalf of the Controller.

  5. “Processing” in relation to personal data, means a wholly or partly automated operation or set of operations performed on personal data, and includes operations such as collection, recording, organization, structuring, storage, adaptation, retrieval, use, alignment or combination, indexing, sharing, disclosure by transmission, dissemination or otherwise making available, restriction, erasure or destruction.

  6. “Personal Data” “Personal Data” means any data about an individual who is identifiable by or in relation to such data. [Ex. the user’s first name, last name, mobile number, residential address, email address, company email, company name and designation.]

2. What Personal Data is Collected by Us?

We may receive your Personal Data in the following ways:

  1. Personal Data collected through Platform:We may receive your Personal Data when you use our Platform and avail Services. We may receive your Personal Data including but not limited to your name, email address, phone number, company name, designation.

  2. User account: You may provide Personal Data including but not limited to your name, email address, company name, designation, username, password when you subscribe to the Services rendered by our Platform.

  3. Online Identifiers and Log Data: When you use or access the Platform, we may collect your IP address, operation system, browser type, web log data, referring and exit pages, platform type, number of clicks, domain names, landing pages, pages and content viewed and the order of those pages, the date and time you used our Services, the frequency of your use of our Services, error logs.

  4. Payment Information: You may elect to pay for the Services through our Platform, we may collect certain information such as name, phone numbers, billing address, tax information and email address to process your request. You will be required to provide certain payment information directly to our payment processing partners, including but not limited to your name, credit/debit card information. We do not access, store or collect your credit/debit card information. We may receive your Personal Data from our Customer/s, in which case, we will act as a Processor and the Customer is the Controller. We process Personal Data only in accordance with the instructions of the Customer.

    5. For Personal Data collected on behalf of Customer please refer to Clause 3 of this Privacy Notice.

3. What Personal Data do we Process on Behalf of the Customer?

This section concerns the Personal Data of the User collected by the Customer, and such collection may be facilitated by us.

  1. The Company as a Data Processor:The Customer sets the purpose and means of processing of such Personal Data. We process such Personal Data only on behalf of and on the instructions of the Customer and for the purpose of rendering our Services to the Customer.

  2. Customer Privacy Notice:If you are the User of the Platform and your Personal Data was shared with us by the Customer, the privacy Notice of the Customer, on whose behalf we collect and process the Personal Data, will apply. This means that any enquiry, request, objection or complaint that you as a User may have in connection with the collection and/or processing of Personal Data that forms part of your Platform usage should be addressed to and resolved by the Customer.

  3. Personal Data: Depending on the nature of services and Customer requirements the Company processes Personal Data on behalf of Customer/s.

  4. Further, the Personal Data collected on behalf of the Customer may differ based on the specific requirements. The Company remains the data processor and the Customer is responsible for providing adequate privacy notices.

    The Customer has complete control over the Personal Data and the Company processes the Personal Data on the Customer’s behalf.


  5. Customer Responsibility:The Customer represents that it has acquired all necessary consents and/or relies on other appropriate legal basis for the processing of Personal Data of end-Users. Customer confirms that end-Users have been informed about that their Personal Data is transferred to the Company as a processor and other third parties used by the Company for the provision of Services.

    We will process the Personal Data for as long as we provide services to the Customer and the Customer maintains active accounts of such Users.

4. Cookies

We may use cookies and/or similar in-house and third-party tracking tools to track user traffic patterns. We only deploy session cookies which expire on the termination of the session.

5. Children’s Privacy

We do not collect Personal Data from children under the age of 18 years without the prior, verifiable consent of his or her legal representative. If the legal representative of the child discovers that the child has provided us with Personal Data, we request the legal representative of the child to contact us privacy@ksolves.com. to have the Personal Data deleted.

6. Accuracy of information

User undertakes that he shall be solely responsible for the accuracy, correctness, or truthfulness of the Personal Data shared with us whether of its own or any third party. In the event the User is sharing any Personal Data on behalf of a third person, the User represents and warrants that he has the necessary authority to share such Personal Data with the Company, obtained a written consent from such third party and the Company shall not be responsible for verifying the same. The User understands and acknowledges that such Personal Data shall be subject to the terms and conditions of this Privacy Notice.

7. How do We Use of Personal Data

We use the Personal Data for the following purposes:

  1. to inform you about our Services, invoicing and to respond to your requests;
  2. for the creation or development of business intelligence or data analytics in relation to the services provided by us (for this purpose we may share the Personal Data with certain software or tools available online);
  3. to provide you with a better experience when you access our Platform and to improve the Services;
  4. to maintain and manage our Platform;
  5. to manage our relationship with you;
  6. for internal record keeping;
  7. and to comply with our legal or statutory obligations.

8. Disclosures

We do not sell, rent, share, distribute, lease or otherwise provide your Personal Data to third parties, without your prior consent. Keeping this in mind, we may disclose your Personal Data in the following cases:

  1. Affiliates:We may provide your Personal Data to our affiliates to enable them to improve the Services, provide feedback and respond to their queries.

  2. Service Providers: We may share your Personal Data with the service providers who work with us in connection with operating the Platform and/ or providing the Services. All such service providers are subject to stringent confidentiality restrictions consistent with this Privacy Notice.

Merger or Acquisition: We may transfer your Personal Data if we are acquired by another entity, or if we merge with another company or transfer a part of our business, including the Platform, to a third party. Any such third party or resultant entity that receives your Personal Data shall have the right to continue to use your Personal Data in line with the purposes set out herein.

  4. Other Third Parties: We may disclose your Personal Data to other third parties including but not limited to hosts, event organizers and/or sponsors whose events you attend through your use of the Services.

  5. Safety, Legal and Regulatory Authorities: We may disclose your Personal Data if we believe that we are required to do so: (a) by law; (b) to comply with legal process or governmental requests; (c) to enforce our agreements; (d) to protect our operations; (d) to protect the rights, privacy, safety or property of the Company, you or others; (e) to protect our reputation and (f) to permit us to pursue available remedies or limit the damages that we may sustain.

9. Data Retention

We will retain User’s Personal Data as long as it is required to be retained for the purpose of provision of the services on our Platform. We may also retain and use User’s Personal Data as necessary to comply with our legal obligations, resolve disputes, and enforce our agreements.

10. How We Secure Your Personal Data

We are committed to maintaining information security and protecting customer data from potential breaches. Although we provide appropriate firewalls and protection, we cannot warrant the security of Personal Data transmitted as these systems are not hack proof. Data pilferage due to unauthorized hacking, virus attacks, technical issues is possible, and we will take necessary measures to mitigate such events. We are not responsible for any loss or damage to customer’s log in credentials. Customers are requested to protect their own credentials. You agree to immediately notify the Company in writing by email to privacy@ksolves.com of any unauthorized use of your account or any other breach of security.

11. Your Privacy Rights

You have the right to access Personal Data in our possession, right to have us rectify or modify any such Personal Data, right to have us erase/delete your Personal Data, right to restrict us from processing such Personal Data, right to object to our use of Personal Data, withdraw consent at any time where we are relying on consent to process Personal Data. Depending on the nature of the request, we may ask you to complete a Personal Data request form or seek certain details to verify the request. You may opt out of receiving promotional emails and newsletters from us by following the unsubscribe instructions provided in those emails. Alternatively, you can opt out, at any time, by emailing privacy@ksolves.com with your specific request.

13. Links to other websites/ platforms

Our Platform may contain links to other websites/platforms/applications of your interest. Please note that we do not have any control over such other websites/platforms/applications, and you will be accessing these websites/ platforms/applications at your own risk. Therefore, we cannot be responsible for the protection and privacy of any information which you provide whilst visiting such websites/platforms/applications and those are not governed by this Privacy Notice. 14. Governing laws

This Privacy Notice shall in all respects be governed by and construed and enforced in accordance with the laws of India and the competent courts in Pune, India shall have an exclusive jurisdiction to adjudicate any subject matter under this Privacy Notice.
